Welcome to Willows, an e-commerce platform operating in Uganda that allows vendors to list products and services for sale while enabling buyers to purchase these items online.
These Terms and Conditions (“Terms”) govern your use of our platform, whether as a Vendor (seller) or a Buyer (customer). By using Willows, you agree to comply with these Terms.
If you do not agree to these Terms, you must not use Willows.
2. Definitions
•“Platform” refers to Willows, including the website, mobile applications, and associated services.
•“Vendor” refers to any individual or business entity that lists and sells products or services on Willows.
•“Buyer” refers to any individual or entity purchasing products or services on Willows.
•“User” refers to both Vendors and Buyers collectively.
•“Product” refers to any physical or digital item listed for sale on Willows.
•“Service” refers to any non-physical offering listed by Vendors
3. User Eligibility
•Users must be at least 18 years old to register and use the platform.
• Vendors must have the necessary legal authorization to sell products and services in Uganda.
•Buyers must provide accurate personal information for order processing.
4. Account Registration
• To use Willows, all Users must create an account with accurate and up-to-date information.
• Vendors must provide valid business details, including business name, location, and bank/payment details.
• Users are responsible for maintaining the security of their accounts and passwords.
• Willows reserves the right to suspend or terminate accounts with fraudulent or misleading information.
5. Use of the Platform
5.1 Vendor Responsibilities
• Vendors must ensure all products/services listed are legal, accurately described, and available for sale.
• Vendors must not list counterfeit, illegal, or restricted products (e.g., weapons, drugs, illegal services).
• Prices listed must be fair, transparent, and inclusive of all applicable taxes.
• Vendors are responsible for timely order fulfillment, delivery, and customer service.
5.2 Buyer Responsibilities
• Buyers must provide accurate shipping and contact information.
• Buyers agree to pay for products/services in full before delivery or as per the selected payment option.
• Buyers must inspect products upon delivery and report any issues promptly.
6. Product Listings and Sales
• Vendors must provide clear descriptions, images, and prices for their products/services.
• Willows reserves the right to remove misleading or inappropriate listings.
• Willows is not responsible for product quality or fulfillment but may intervene in disputes.
7. Payment Terms
7.1 Payment Methods
• Buyers can make payments via mobile money, bank transfers, debit/credit cards, or cash on delivery (if applicable).
• Vendors receive payments after successful delivery and buyer confirmation, subject to platform fees.7.2 Commission and Fees
• Willows charges a commission on each successful sale. The commission rate varies by product category and will be communicated to Vendors in advance.
• Vendors may be required to pay subscription fees for premium services.
8. Order Processing and Delivery
8.1 Vendor Obligations
• Vendors must process and dispatch orders within the agreed timelines.
• Vendors must use reliable courier services for delivery.
•Late deliveries or order cancellations without valid reasons may lead to penalties or account suspension.
8.2 Buyer Expectations
• Buyers must ensure availability at the provided delivery address.
•If a buyer refuses delivery without a valid reason, they may be charged return shipping costs
9. Returns, Refunds, and Disputes
9.1 Returns and Refunds
• Buyers may request a return or refund if a product is defective, damaged, counterfeit, or not as described.
• Requests for returns must be made within 48 hours of receiving the product.
• Vendors must accept valid return requests and issue refunds or replacements.
9.2 Dispute Resolution
• Willows will mediate disputes between Buyers and Vendors where necessary.
•If a dispute arises, Users must first attempt to resolve it directly before escalating it to Willows’ support team.
•Final decisions on disputes rest with Willows, and Users must comply with the resolution provided.
10. Prohibited Activities
Users must not:
• Sell illegal, counterfeit, or hazardous items.
• Use fake identities or commit fraud.
• Engage in abusive behavior, hate speech, or harassment.
• Attempt to hack or disrupt Willows’ systems.
11. Privacy and Data Protection
• Willows collects and stores User information in accordance with its Privacy Policy.
• Users agree that Willows may use their data to improve the platform and provide relevant services.
• Willows does not sell personal data to third parties.
12. Intellectual Property
• Willows owns all rights to its branding, website, and digital assets.
• Vendors retain ownership of their product content but grant Willows permission to display and market their listings.
13. Liability and Disclaimers
• Willows is a marketplace facilitator and is not liable for any product defects, losses, or damages.
• Vendors are solely responsible for their products and services.
• Willows is not responsible for financial losses resulting from fraud, account misuse, or system downtime.
14. Termination of Accounts
• Willows may suspend or terminate User accounts for violating these Terms.
• Vendors who repeatedly receive complaints or fail to fulfill orders may be permanently banned.
•Users can deactivate their accounts, but all outstanding transactions must be settled first.15. Changes to These Terms
• Willows reserves the right to modify these Terms at any time.
• Users will be notified of significant changes via email or platform announcements.
• Continued use of the platform after updates implies acceptance of the revised Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Uganda. Any legal disputes shall be handled within Ugandan courts.
